1. Acceptance of Terms
By accessing or using the Agentora platform (“Platform”), including the website at agentora.co, the AgentPro mobile application, and all related services (collectively, the “Services”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not access or use the Services.
These Terms constitute a legally binding agreement between you and SuiteHome Labs LLC, a Georgia limited liability company doing business as Agentora (“Agentora,” “we,” “us,” or “our”).
By creating an account, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.
2. Platform Description
2.1 Technology Platform — Not a Brokerage
Agentora is a technology platform that provides software tools for licensed real estate agents and consumers. Agentora is not a real estate brokerage, broker, agent, or salesperson. Agentora does not:
- Hold a real estate broker’s or salesperson’s license in any jurisdiction;
- Provide real estate brokerage services;
- Participate in real estate transactions or closings;
- Negotiate, arrange, or facilitate the terms of any real estate transaction;
- Act as a party to any referral agreement, buyer’s agency agreement, listing agreement, or purchase contract;
- Receive any compensation, fee, or thing of value from any real estate transaction or referral; or
- Endorse, recommend, or guarantee the performance, skill, or qualifications of any agent or brokerage.
2.2 Services Provided
Agentora provides software tools including but not limited to: agent profile pages and public share pages; consumer-to-agent connection by specialty and geographic service area; agent-to-agent referral network tools; referral agreement generation and electronic signature processing; client relationship management (CRM) tools; deal timeline tracking; and communication tools between users.
2.3 Third-Party Relationships
All real estate transactions, referral agreements, and professional services are conducted solely between the applicable agents, brokerages, and clients. Agentora’s role is limited to providing the technology infrastructure through which users may communicate, generate documents, and manage their business.
3. Account Registration and Eligibility
3.1 Agent Accounts
To register as an agent on Agentora, you must: (a) be at least 18 years of age; (b) hold an active, valid real estate license in at least one U.S. state or jurisdiction; (c) be affiliated with a licensed real estate brokerage; (d) provide accurate and complete registration information; and (e) maintain the accuracy of your registration information at all times.
You represent and warrant that your real estate license is in good standing and that you are authorized by your brokerage to use the Platform. Agentora reserves the right to verify license status at any time and to suspend or terminate accounts with invalid or expired licenses.
3.2 Consumer Accounts
To register as a consumer on Agentora, you must: (a) be at least 18 years of age; (b) provide accurate and complete registration information. Consumer accounts are free.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials. Agentora is not liable for any loss arising from unauthorized access to your account.
4. Subscription Terms
4.1 Subscription Plans
Agentora offers paid subscription plans for agents at various tiers. Subscriptions are for access to software features only. Subscriptions do not constitute payment for leads, referrals, or introductions to consumers. No subscription tier guarantees any specific number of leads, connections, referrals, or transaction outcomes.
4.2 Billing and Auto-Renewal
Subscriptions are billed on a monthly or annual basis and automatically renew at the end of each billing period at the then-current rate unless canceled before the renewal date.
4.3 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial billing periods.
4.4 Price Changes
Agentora reserves the right to change subscription pricing with at least 30 days’ notice to existing subscribers.
5. Founding Agent Program
5.1 Program Description
Founding Agents receive lifetime discounted subscription rates (as long as the subscription remains continuously active) and a Founding Agent badge displayed on their profile.
5.2 Badge Is Not an Endorsement
The Founding Agent badge indicates that the agent was among the earliest users of the Agentora platform. The badge is a cosmetic, early-access designation only. It does not represent a quality endorsement, recommendation, certification, or guarantee of outcomes by Agentora.
6. Referral Network
6.1 Platform-Facilitated, Not Platform-Controlled
Agentora provides software tools that allow agents to generate and execute referral agreements with other agents. Agentora does not assign, direct, manage, or control referrals.
6.2 Referral Agreements
Referral agreements generated through the Platform are agreements between the referring agent’s brokerage and the receiving agent’s brokerage. Agentora is not a party to any referral agreement.
6.3 Referral Fees
Referral fees flow broker-to-broker at closing. Agentora receives zero compensation, commission, fee, or thing of value from any referral transaction.
6.4 RESPA Compliance
Agents using the referral network represent and warrant that all referral activity complies with the Real Estate Settlement Procedures Act (“RESPA”), including Section 8 thereof, and all applicable state laws.
6.5 Brokerage Authorization
By participating in the referral network, each agent represents that they have authorization from their brokerage to enter into referral agreements.
7. Electronic Signatures
By using the Platform’s document execution features, you consent to conducting transactions and signing agreements electronically under the ESIGN Act (15 U.S.C. 7001 et seq.) and applicable state electronic signature laws. Each signed document includes a system-generated audit trail recording the signer’s user ID, timestamp, IP address, and device information. A SHA-256 cryptographic hash is generated for tamper detection.
8. User Content and Conduct
You retain ownership of your content. By submitting content, you grant Agentora a non-exclusive, worldwide, royalty-free license to use it in connection with operating the Services. You agree not to provide false information, impersonate others, use the Platform unlawfully, or violate RESPA, fair housing laws, or licensing regulations.
9. Intellectual Property
The Platform, including its design, code, and trademarks (“Agentora,” “AgentPro”), is the property of SuiteHome Labs LLC.
10. Privacy
Your use of the Platform is subject to our Privacy Policy.
11. Disclaimers
The Platform is provided “as is” and “as available.” Agentora makes no warranties, express or implied. Agentora does not guarantee any specific number of leads, connections, referrals, or transaction outcomes. Nothing on the Platform constitutes legal, financial, tax, or real estate advice.
12. Limitation of Liability
In no event shall Agentora be liable for any indirect, incidental, special, consequential, or punitive damages. Agentora’s total aggregate liability shall not exceed the amount you paid in subscription fees during the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless Agentora from any claims arising from your use of the Platform, your violation of these Terms, any real estate transaction or referral arrangement in which you participate, or any dispute between you and another user.
14. Dispute Resolution
Disputes shall be resolved by binding arbitration administered by the American Arbitration Association in Atlanta, Georgia. You agree that any dispute resolution will be conducted only on an individual basis and not in a class, consolidated, or representative action. These Terms are governed by the laws of the State of Georgia.
15. Modification of Terms
Agentora reserves the right to modify these Terms at any time. Material changes will be communicated with at least 30 days’ notice for paid subscribers. Continued use constitutes acceptance.
16. Termination
You may terminate your account at any time. Agentora may suspend or terminate accounts for violation of these Terms, loss of license, or unlawful conduct. Active referral agreements survive termination per their own terms.
